1. Introduction

Welcome to MedroWorks, a workforce management platform developed and operated by Medro Hi Tech Symbol Pvt Ltd.

These Terms of Service (“Terms“) govern your access to and use of the MedroWorks platform, including its mobile applications, web portals, websites, cloud services, application programming interfaces (APIs), and any related services provided under the MedroWorks brand (collectively, the “Services“).

MedroWorks is designed to help organizations manage their workforce through features such as employee management, attendance tracking, leave management, payroll administration, organizational management, notifications, reporting, and other workforce-related business functions.

By accessing or using the Services, you agree to be bound by these Terms. If you are using MedroWorks on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization and that the organization agrees to be bound by them.

If you do not agree to these Terms, you must not access or use the Services.

Your use of the Services is also subject to the MedroWorks Privacy Policy, which explains how Personal Information is collected, used, processed, and protected.

These Terms constitute a legally binding agreement between you (or the organization you represent) and Medro Hi Tech Symbol Pvt Ltd regarding the use of the MedroWorks Services.

 

2. About MedroWorks

MedroWorks is a cloud-based Human Resource Management System (HRMS) and Workforce Management platform developed and operated by Medro Hi Tech Symbol Pvt Ltd.

The Services are designed to assist organizations in managing their workforce through digital tools for employee lifecycle management, attendance tracking, leave management, payroll administration, organizational management, reporting, notifications, and other workforce-related business operations.

MedroWorks is intended for use by businesses, organizations, institutions, and other legal entities, together with their authorized employees, managers, human resources personnel, finance teams, administrators, company owners, and other authorized users.

  • MedroWorks Employee Mobile Application
  • MedroWorks Management Mobile Application
  • MedroWorks Admin Web Portal
  • MedroWorks Super Admin Portal
  • Official MedroWorks Website
  • Cloud Services operated under the MedroWorks platform
  • Official APIs and related services provided by Medro Hi Tech Symbol Pvt Ltd

These Terms apply to all users who access or use the Services, whether on behalf of themselves or a Customer Organization.

 

3. Acceptance of these Terms

By accessing, registering for, or using the MedroWorks Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

Where applicable, you may be required to review and expressly accept these Terms before accessing or using certain features of the Services. Your continued use of the Services after accepting these Terms constitutes your agreement to comply with them.

If you are using MedroWorks on behalf of a Customer Organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, references to “you” and “your” include both the individual user and the Customer Organization, as applicable.

If you do not agree to these Terms, you must not access or use the Services.

3.1 Acceptance by Organizations

Where MedroWorks is subscribed to by a business, organization, institution, or other legal entity, these Terms form a legally binding agreement between Medro Hi Tech Symbol Pvt Ltd and the Customer Organization.

The Customer Organization is responsible for ensuring that its authorized users access and use the Services in accordance with these Terms and all applicable organizational policies.

3.2 Acceptance by Individual Users

Employees, managers, administrators, finance personnel, human resources personnel, company owners, and other authorized users who access MedroWorks through a Customer Organization are individually responsible for complying with these Terms while using the Services.

Access to the Services does not create an employment relationship between the user and Medro Hi Tech Symbol Pvt Ltd.

3.3 Updates to the Terms

From time to time, Medro Hi Tech Symbol Pvt Ltd may update these Terms to reflect changes in the Services, applicable laws, security practices, or business operations.

Where required, we will notify users or Customer Organizations of material changes through the Services, our website, or other reasonable means.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

3.4 Additional Policies

Your use of MedroWorks may also be subject to additional policies, guidelines, or agreements provided by:

  • Medro Hi Tech Symbol Pvt Ltd; or
  • Your Customer Organization.

In the event of any conflict between these Terms and a separate written agreement entered into between Medro Hi Tech Symbol Pvt Ltd and a Customer Organization, the written agreement will prevail to the extent of that conflict.

 

4. Eligibility

The MedroWorks Services are intended for use by businesses, organizations, institutions, and their authorized workforce. By accessing or using the Services, you represent and warrant that you meet the eligibility requirements set out in these Terms.

4.1 Authorized Users

You may use MedroWorks only if you are:

  • An authorized representative of a Customer Organization.
  • An employee, manager, human resources personnel, finance personnel, administrator, company owner, or other authorized user granted access by a Customer Organization.
  • Legally capable of entering into a binding agreement under the laws applicable to you.

Access to the Services is subject to the permissions assigned by the Customer Organization.

4.2 Minimum Age

MedroWorks is intended for professional and workplace use and is not intended for individuals under the age of 18 years.

By using the Services, you represent that you are at least 18 years of age or are otherwise legally authorized to use the Services on behalf of a Customer Organization.

4.3 Organizational Access

Where access to MedroWorks is provided by a Customer Organization:

  • User accounts are created, managed, suspended, and removed by the Customer Organization or its authorized administrators.
  • Access rights are determined by the Customer Organization based on business requirements and assigned user roles.
  • Medro Hi Tech Symbol Pvt Ltd does not independently grant access to employee accounts without authorization from the Customer Organization.

4.4 Account Accuracy

Users are responsible for ensuring that the information they provide, where they are permitted to provide or update it, is accurate, complete, and kept reasonably up to date.

Customer Organizations are responsible for maintaining the accuracy of organizational and employee information managed through the Services.

4.5 Restricted Access

You must not access or attempt to access the Services if:

  • Your account has been suspended or terminated.
  • You are not authorized by the Customer Organization.
  • Your use of the Services would violate applicable laws, regulations, or these Terms.

Medro Hi Tech Symbol Pvt Ltd reserves the right to deny or restrict access to the Services where it reasonably believes that continued access would violate these Terms, applicable laws, or the security of the platform.

 

5. User Accounts

Access to the MedroWorks Services requires a valid user account created or authorized by a Customer Organization. User accounts are intended solely for authorized business and workforce management purposes and must be used in accordance with these Terms.

5.1 Account Creation

User accounts are generally created and managed by the Customer Organization through authorized administrators.

Depending on the organization’s implementation of MedroWorks, accounts may be created:

  • Individually by an authorized administrator.
  • Through bulk employee import or onboarding processes.
  • Through other authorized account provisioning methods supported by the Services.

Users must not create unauthorized accounts or attempt to bypass organizational account management procedures.

5.2 Account Credentials

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

You agree to:

  • Keep your login credentials confidential.
  • Use a strong and unique password where applicable.
  • Not share your account with another person.
  • Notify your organization or administrator immediately if you suspect unauthorized access or misuse of your account.

Customer Organizations are responsible for managing user access, authentication methods, and account permissions within their organization.

5.3 User Roles and Permissions

Access to features within MedroWorks is controlled through role-based access permissions assigned by the Customer Organization.

Depending on the assigned role, users may have access to different features and information. Examples of roles include:

  • Employee
  • Manager
  • Human Resources (HR)
  • Finance
  • Administrator
  • Company Owner
  • Super Administrator (where applicable)

Users may access only those features and information that are authorized for their assigned role.

Attempting to access restricted functionality or information without authorization is prohibited.

5.4 Account Responsibility

Users are responsible for all activities performed through their account.

You agree not to:

  • Allow another person to use your account.
  • Use another person’s account without authorization.
  • Misrepresent your identity or role.
  • Circumvent authentication or security controls implemented by the Services.

Customer Organizations are responsible for ensuring that access rights remain appropriate throughout the user’s employment or engagement.

5.5 Suspension and Deactivation

Customer Organizations may suspend, deactivate, or restrict access to user accounts at any time in accordance with their internal policies and operational requirements.

Medro Hi Tech Symbol Pvt Ltd may also temporarily suspend or restrict access where reasonably necessary to:

  • Protect the security or integrity of the Services.
  • Investigate suspected misuse or unauthorized activity.
  • Comply with applicable laws or lawful requests from competent authorities.
  • Perform essential maintenance or security updates.

Where reasonably practicable, we will seek to minimize disruption to the Services.

5.6 Account Removal

Employee accounts may be removed by the Customer Organization through the MedroWorks administrative platform.

Users may also submit an Account Deletion Request through the functionality provided within the Services, where available.

The review, approval, and processing of such requests are governed by the Customer Organization’s policies and the procedures described in the MedroWorks Privacy Policy.

5.7 Account Ownership

User accounts created within MedroWorks for employees and authorized personnel are associated with the Customer Organization.

Nothing in these Terms shall be interpreted as granting users ownership of organizational data, employee records, or other information maintained by the Customer Organization within the Services.

6. Roles and Responsibilities

MedroWorks is designed to support multiple user roles within a Customer Organization. Each role is assigned specific permissions and responsibilities based on the organization’s configuration and business requirements.

Customer Organizations are responsible for assigning appropriate roles and ensuring that users access only the information and functionality necessary for their responsibilities.

6.1 Customer Organization

The Customer Organization is responsible for the administration and lawful use of the MedroWorks Services within its organization.

The Customer Organization is responsible for:

  • Maintaining accurate organizational and employee information.
  • Assigning appropriate user roles and permissions.
  • Managing employee onboarding and offboarding.
  • Reviewing and approving requests submitted through the Services.
  • Complying with applicable employment, labour, taxation, and data protection laws.
  • Ensuring that users are authorized to access the Services.

The Customer Organization remains responsible for decisions relating to employment records, payroll, attendance, leave, and other workforce-related information maintained within MedroWorks.

6.2 Company Owner

The Company Owner is the highest-level authorized representative within the Customer Organization.

Depending on the organization’s configuration, the Company Owner may:

  • Access organization-wide information.
  • Configure organizational settings.
  • Assign or revoke administrative roles.
  • Review reports and analytics.
  • Oversee workforce operations.
  • Delegate responsibilities to authorized personnel.

The Company Owner is responsible for ensuring that administrative access is granted only to authorized individuals.

6.3 Administrator

Administrators are responsible for managing the day-to-day operation of MedroWorks within the Customer Organization.

Administrator responsibilities may include:

  • Creating and managing user accounts.
  • Configuring departments, designations, and organizational structures.
  • Managing attendance, leave, payroll, and workforce settings.
  • Assigning user roles and permissions.
  • Reviewing administrative requests.
  • Managing system configuration.
  • Supporting users within the organization.

Administrators must exercise their permissions responsibly and only for authorized business purposes.

6.4 Human Resources (HR)

Human Resources personnel are responsible for managing employee lifecycle activities and workforce administration.

Depending on their assigned permissions, HR personnel may:

  • Manage employee records.
  • Review onboarding information.
  • Process leave requests.
  • Manage attendance regularization.
  • Maintain employment information.
  • Generate HR reports.
  • Review account deletion requests.
  • Perform other HR-related administrative functions.

HR personnel are responsible for ensuring that employee information is handled appropriately and in accordance with applicable organizational policies.

6.5 Finance

Finance personnel are responsible for payroll and financial administration within the Customer Organization.

Depending on assigned permissions, Finance personnel may:

  • Process payroll.
  • Review salary information.
  • Manage expense claims and reimbursements.
  • Generate payroll reports.
  • Review financial records.
  • Access finance-related information required for their responsibilities.

Finance personnel must access financial information only for authorized business purposes.

6.6 Managers

Managers are responsible for supervising employees assigned to them.

Depending on their assigned permissions, Managers may:

  • Review attendance information.
  • Approve or recommend leave requests.
  • Manage team tasks.
  • Review employee performance information.
  • Access information relating to their reporting team.
  • Perform other management functions authorized by the Customer Organization.

Managers must use information only for legitimate supervisory and organizational purposes.

6.7 Employees

Employees are responsible for using MedroWorks in accordance with these Terms and the policies established by their Customer Organization.

Employees may use the Services to:

  • Mark attendance.
  • Submit leave requests.
  • View attendance records.
  • Access payroll information where authorized.
  • Submit expense claims where enabled.
  • Raise support requests.
  • Update permitted profile information.
  • Request account deletion through the functionality provided by the Services.

Employees must ensure that information submitted through the Services is accurate and must not misuse the platform.

6.8 Medro Hi Tech Symbol Pvt Ltd

Medro Hi Tech Symbol Pvt Ltd is responsible for providing and maintaining the MedroWorks platform.

Our responsibilities include:

  • Operating and maintaining the Services.
  • Providing software updates and improvements.
  • Maintaining reasonable security measures.
  • Supporting Customer Organizations.
  • Processing information in accordance with the Privacy Policy.
  • Maintaining the availability and reliability of the platform, subject to maintenance, operational requirements, and circumstances beyond our reasonable control.

Nothing in these Terms creates an employment relationship between Medro Hi Tech Symbol Pvt Ltd and any employee of a Customer Organization.

6.9 Responsible Use

All users of MedroWorks are expected to:

  • Use the Services only for authorized and lawful purposes.
  • Respect the privacy and confidentiality of information accessible through the Services.
  • Protect their account credentials.
  • Report suspected security incidents or unauthorized access.
  • Comply with these Terms, the Privacy Policy, and the Customer Organization’s internal policies.

Failure to comply with these responsibilities may result in suspension or termination of access to the Services.

7. Acceptable Use

You agree to use the MedroWorks Services only for lawful business purposes and in accordance with these Terms, the Privacy Policy, applicable laws, and the policies of your Customer Organization.

You are responsible for all activities performed through your account and for ensuring that your use of the Services does not interfere with the security, integrity, availability, or proper operation of MedroWorks.

7.1 Permitted Use

You may use the Services only for authorized business and workforce management purposes, including activities permitted by your assigned role within the Customer Organization.

Examples of permitted use include:

  • Managing employee information.
  • Recording attendance.
  • Applying for or approving leave.
  • Processing payroll and financial information.
  • Managing organizational data.
  • Accessing reports and analytics.
  • Communicating through features provided by the Services.
  • Performing other activities authorized by the Customer Organization.

7.2 Prohibited Activities

You must not use the Services to:

  • Violate any applicable law or regulation.
  • Access information or functionality without authorization.
  • Attempt to gain unauthorized access to another user’s account or organizational data.
  • Share your account credentials with another person.
  • Impersonate another individual or organization.
  • Upload, transmit, or distribute malicious software, viruses, or other harmful code.
  • Interfere with or disrupt the operation, security, or performance of the Services.
  • Circumvent, disable, or attempt to bypass authentication, security measures, or access controls.
  • Use automated tools, scripts, bots, or other methods to access or interact with the Services without prior written authorization.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services, except where expressly permitted by applicable law.
  • Copy, reproduce, modify, distribute, sell, lease, sublicense, or commercially exploit any part of the Services without prior written permission from Medro Hi Tech Symbol Pvt Ltd.
  • Upload or share content that is unlawful, fraudulent, defamatory, abusive, obscene, discriminatory, or otherwise objectionable.
  • Use the Services in a manner that could damage, disable, overburden, or impair the functionality or security of the platform.

7.3 Data Integrity

Users must ensure that information entered into MedroWorks is accurate, complete, and submitted in good faith.

You must not knowingly:

  • Submit false or misleading information.
  • Manipulate attendance or payroll records.
  • Alter records without proper authorization.
  • Use another person’s identity or account.
  • Create duplicate or unauthorized accounts.

Customer Organizations are responsible for reviewing and maintaining the accuracy of workforce information stored within the Services.

7.4 Security Responsibilities

Users must take reasonable steps to protect the security of their accounts and the Services.

You agree to:

  • Keep your login credentials confidential.
  • Use secure devices where possible.
  • Report suspected unauthorized access or security incidents promptly.
  • Log out of shared or public devices after use.
  • Avoid actions that may compromise the security of the Services.

7.5 Compliance with Organizational Policies

Your use of MedroWorks must also comply with the policies, procedures, and acceptable use requirements established by your Customer Organization.

Nothing in these Terms limits the Customer Organization’s ability to enforce its own workplace policies or take disciplinary action in accordance with applicable laws.

7.6 Enforcement

Medro Hi Tech Symbol Pvt Ltd reserves the right to investigate suspected violations of these Terms and, where reasonably necessary, to:

  • Suspend or restrict access to the Services.
  • Remove content or information that violates these Terms.
  • Cooperate with Customer Organizations or competent authorities where required by applicable law.
  • Take other appropriate measures to protect the security, integrity, and lawful operation of the Services.

Such actions may be taken without prior notice where immediate action is reasonably necessary to protect the Services, users, or Customer Organizations.

 

8. Customer Responsibilities

Customer Organizations play a central role in the administration and lawful use of the MedroWorks Services. As the organization responsible for managing its workforce through the platform, the Customer Organization is accountable for the information it provides, the users it authorizes, and the manner in which the Services are used within its organization.

8.1 Lawful Use

The Customer Organization is responsible for ensuring that its use of the Services complies with all applicable laws, regulations, contractual obligations, and internal organizational policies.

The Customer Organization shall use the Services only for legitimate business and workforce management purposes.

8.2 User Administration

The Customer Organization is responsible for creating, managing, and maintaining user accounts and permissions within the Services.

This includes:

  • Authorizing users who require access to the Services.
  • Assigning appropriate roles and permissions.
  • Reviewing and updating access rights when responsibilities change.
  • Suspending or removing user access when it is no longer required.
  • Protecting administrative credentials from unauthorized use.

8.3 Accuracy of Information

The Customer Organization is responsible for ensuring that information entered into MedroWorks is accurate, complete, and kept reasonably up to date.

This includes, where applicable:

  • Employee records.
  • Attendance information.
  • Payroll information.
  • Leave records.
  • Organizational structures.
  • Financial information.
  • Statutory information.
  • Other workforce-related records maintained within the Services.

Medro Hi Tech Symbol Pvt Ltd is not responsible for inaccuracies resulting from information provided by the Customer Organization or its authorized users.

8.4 Compliance with Employment and Statutory Requirements

The Customer Organization is solely responsible for ensuring that its use of MedroWorks complies with applicable employment, labour, taxation, payroll, social security, and other statutory obligations.

The Services are provided as a software platform to assist in workforce management and do not replace the Customer Organization’s responsibility to comply with applicable legal or regulatory requirements.

8.5 Protection of Credentials

The Customer Organization is responsible for maintaining the confidentiality and security of administrative accounts and credentials.

Administrative access should be granted only to authorized personnel and should be reviewed periodically to ensure continued appropriateness.

8.6 Review and Approval Responsibilities

The Customer Organization is responsible for reviewing and acting upon requests submitted through the Services, including, where applicable:

  • Leave requests.
  • Attendance regularization requests.
  • Expense claims.
  • Employee onboarding information.
  • Payroll approvals.
  • Account deletion requests.
  • Other workflow approvals configured by the Customer Organization.

Approval decisions remain the responsibility of the Customer Organization.

8.7 Prohibited Organizational Use

The Customer Organization must not use the Services to:

  • Violate applicable laws or regulations.
  • Process information without appropriate authority.
  • Infringe the rights of employees or third parties.
  • Attempt to interfere with the security or operation of the Services.
  • Use the Services for unlawful, fraudulent, deceptive, or abusive activities.

8.8 Responsibility for Internal Policies

The Customer Organization is responsible for establishing and enforcing its own internal workplace policies relating to attendance, leave, payroll, employee conduct, approvals, disciplinary actions, and other employment matters.

MedroWorks provides tools to support these processes but does not determine or enforce the Customer Organization’s internal policies or employment decisions.

8.9 Responsibility for Customer Data

The Customer Organization retains responsibility for the Personal Information and other organizational data processed through the Services.

The Customer Organization is responsible for ensuring that it has the necessary authority to collect, use, and manage such information and for complying with applicable privacy and data protection laws.

 

9. Fees and Payments (Reserved for Future Use)

MedroWorks may offer subscription-based Services, paid plans, premium features, or other commercial offerings in the future.

Where the Services are provided under a paid subscription or commercial agreement, the applicable pricing, payment terms, billing arrangements, renewal conditions, and any additional commercial terms will be governed by the agreement entered into between Medro Hi Tech Symbol Pvt Ltd and the Customer Organization.

Unless otherwise agreed in writing:

  • Subscription fees are payable by the Customer Organization.
  • Fees, where applicable, are exclusive of applicable taxes unless expressly stated otherwise.
  • Customer Organizations are responsible for providing accurate billing and payment information.
  • Failure to make payments when due may result in suspension or termination of access to paid Services after reasonable notice, where permitted by applicable law or the applicable commercial agreement.

At the Effective Date of these Terms, certain MedroWorks Services may be provided without charge or under separate commercial arrangements.

The introduction of new paid Services, subscription plans, or pricing models will not affect existing agreements unless mutually agreed or otherwise permitted under the applicable agreement.

Any future pricing, billing, or payment terms will be published through the MedroWorks website, communicated directly to Customer Organizations, or incorporated into a separate commercial agreement.

 

10. Intellectual Property

All rights, title, and interest in and to the MedroWorks Services, including all software, source code, object code, user interfaces, designs, graphics, logos, trademarks, service marks, documentation, databases, workflows, APIs, reports, text, content, features, functionality, and other materials made available through the Services, are and shall remain the exclusive property of Medro Hi Tech Symbol Pvt Ltd or its licensors, as applicable.

Nothing in these Terms transfers ownership of any intellectual property rights to the Customer Organization or any User.

10.1 Ownership of the Services

Medro Hi Tech Symbol Pvt Ltd retains all intellectual property rights in and to the Services, including any updates, enhancements, modifications, customizations, bug fixes, new features, or future releases.

The Customer Organization and its Users are granted only a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services in accordance with these Terms.

10.2 Ownership of Customer Data

The Customer Organization retains ownership of all data, records, documents, and other information submitted to or maintained within the Services by or on behalf of the Customer Organization.

Medro Hi Tech Symbol Pvt Ltd does not claim ownership of Customer Data and processes such information solely for the purpose of providing, maintaining, securing, and supporting the Services in accordance with the Privacy Policy and applicable agreements.

10.3 Feedback and Suggestions

Users and Customer Organizations may voluntarily provide feedback, suggestions, ideas, enhancement requests, or recommendations relating to the Services.

Unless otherwise agreed in writing, Medro Hi Tech Symbol Pvt Ltd may use, modify, implement, and incorporate such feedback without restriction and without any obligation to provide compensation, acknowledgement, or attribution.

10.4 Restrictions

Except as expressly permitted by these Terms or applicable law, you must not:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Services.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying technology of the Services.
  • Sell, lease, sublicense, distribute, assign, or commercially exploit any part of the Services.
  • Remove, alter, or obscure any copyright, trademark, proprietary notice, or other intellectual property notice displayed within the Services.
  • Use the Services to develop or assist in developing a competing product or service.
  • Access the Services for benchmarking, competitive analysis, or commercial comparison without the prior written consent of Medro Hi Tech Symbol Pvt Ltd.

10.5 Trademarks

MedroWorks“, “Medro“, the MedroWorks logo, the Medro logo, and all related names, logos, product names, branding elements, and service marks are the property of Medro Hi Tech Symbol Pvt Ltd, unless otherwise stated.

Nothing in these Terms grants any right or license to use the trademarks, logos, trade names, or branding of Medro Hi Tech Symbol Pvt Ltd without prior written permission.

10.6 Open Source Software

Certain components of the Services may include or rely upon open-source software distributed under their respective open-source licenses.

Nothing in these Terms limits or overrides the rights granted under the applicable open-source licenses. Information regarding such components will be made available where required by the applicable license terms.

10.7 Reservation of Rights

All rights not expressly granted under these Terms are reserved by Medro Hi Tech Symbol Pvt Ltd and its licensors.

No license or right shall be implied by estoppel or otherwise beyond the limited rights expressly granted under these Terms.

  • Google Play Services (Android)

Additional third-party services may be introduced as the Services evolve. Where such services materially affect the operation of MedroWorks or the processing of Personal Information, we will update our Privacy Policy and, where appropriate, these Terms.

11.2 Third-Party Terms

Certain features of the Services depend upon third-party platforms and technologies that operate under their own legal terms and privacy policies.

By using those features, you acknowledge that your use of such third-party services may also be governed by the applicable terms and policies of those providers.

Medro Hi Tech Symbol Pvt Ltd is not responsible for the content, policies, or practices of independent third-party services.

11.3 Availability of Third-Party Services

The availability and performance of certain MedroWorks features may depend upon the availability of third-party services.

Medro Hi Tech Symbol Pvt Ltd is not responsible for interruptions, delays, outages, service degradation, or other issues caused by third-party infrastructure or services that are outside our reasonable control.

We will make reasonable efforts to restore affected functionality where such issues impact the Services.

11.4 Changes to Third-Party Services

Medro Hi Tech Symbol Pvt Ltd reserves the right to replace, modify, discontinue, or introduce third-party service providers where reasonably necessary to improve the Services, maintain security, enhance functionality, or comply with legal or operational requirements.

Such changes do not affect the ownership of Customer Data or the obligations described in our Privacy Policy.

11.6 Customer Responsibility

Customer Organizations acknowledge that certain functionality within the Services depends upon third-party infrastructure.

Customer Organizations are responsible for ensuring that their use of such functionality complies with any applicable third-party terms, licensing requirements, and organizational policies.

Nothing in these Terms grants any ownership rights in third-party products or services used by MedroWorks.

 

12. Service Availability

Medro Hi Tech Symbol Pvt Ltd is committed to providing reliable and secure access to the MedroWorks Services. While we strive to maintain continuous availability, the Services may occasionally be unavailable due to maintenance, upgrades, security measures, technical issues, or circumstances beyond our reasonable control.

We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

12.1 Availability of the Services

We make reasonable efforts to ensure that the Services remain accessible and operational.

However, temporary interruptions may occur due to:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Software updates or upgrades.
  • Infrastructure changes.
  • Network failures.
  • Third-party service interruptions.
  • Security incidents.

12.5 Beta and Preview Features

From time to time, Medro Hi Tech Symbol Pvt Ltd may make available beta, preview, experimental, or early access features.

Such features are provided for evaluation purposes and may:

  • Be incomplete.
  • Contain defects or errors.
  • Change without notice.
  • Be modified or discontinued at any time.

Unless otherwise stated, beta and preview features are provided “as is” and may not be supported to the same extent as generally available features.

12.6 Disaster Recovery and Business Continuity

However, no disaster recovery or business continuity process can guarantee uninterrupted availability or the complete prevention of service interruptions.

12.7 No Service Level Agreement

Unless expressly agreed in a separate written Service Level Agreement (SLA) executed between Medro Hi Tech Symbol Pvt Ltd and the Customer Organization, nothing in these Terms shall be interpreted as creating a guaranteed uptime commitment, response time obligation, or service availability warranty.

Any service levels, support commitments, or availability guarantees shall be governed exclusively by the applicable written agreement between the parties.

 

13. Suspension and Termination

Medro Hi Tech Symbol Pvt Ltd and the Customer Organization each have the right to suspend or terminate access to the Services under the circumstances described in this section. Suspension or termination may apply to individual users, specific accounts, or the Customer Organization, depending on the nature of the circumstances.

Termination or suspension of access does not relieve the Customer Organization or Users of any obligations that, by their nature, are intended to survive termination.

13.1 Suspension by the Customer Organization

The Customer Organization may suspend, deactivate, restrict, or terminate the access of any User at any time in accordance with its internal policies and operational requirements.

Examples include:

  • Employee resignation or termination.
  • Change of role or responsibilities.
  • Unauthorized use of organizational resources.
  • Violation of workplace policies.
  • Security or operational requirements.

The Customer Organization remains solely responsible for employment-related decisions concerning its Users.

13.2 Suspension by Medro Hi Tech Symbol Pvt Ltd

Medro Hi Tech Symbol Pvt Ltd may suspend or restrict access to all or part of the Services where reasonably necessary to:

  • Protect the security, integrity, or availability of the Services.
  • Investigate suspected violations of these Terms.
  • Prevent fraud, abuse, or unauthorized access.
  • Comply with applicable laws or lawful requests from competent authorities.
  • Perform emergency maintenance or respond to security incidents.
  • Protect the rights, property, or safety of Medro Hi Tech Symbol Pvt Ltd, Customer Organizations, Users, or third parties.

Where reasonably practicable, we will provide notice before suspension. However, prior notice may not be possible where immediate action is necessary.

13.3 Termination by the Customer Organization

The Customer Organization may discontinue its use of the Services at any time, subject to the terms of any applicable subscription, commercial agreement, or Service Level Agreement.

Upon termination:

  • User access may be revoked.
  • Administrative access may be disabled.
  • Customer Data will be handled in accordance with the Privacy Policy, applicable agreements, and legal obligations.
  • Certain information may be retained where required by applicable laws.

13.4 Termination by Medro Hi Tech Symbol Pvt Ltd

Medro Hi Tech Symbol Pvt Ltd may terminate access to the Services if:

  • The Customer Organization or User materially breaches these Terms.
  • The Services are used for unlawful or fraudulent purposes.
  • Continued access presents a security or operational risk.
  • Required payments remain outstanding under an applicable commercial agreement after any applicable notice period.
  • We are required to do so by applicable law or a lawful order of a competent authority.

Termination will be exercised reasonably and in accordance with any applicable contractual obligations.

13.5 Effect of Suspension or Termination

Following suspension or termination:

  • Access to the Services may be restricted or removed.
  • Users may no longer be able to sign in or access Customer Data.
  • Certain features may become unavailable.
  • Customer Data may remain subject to applicable retention requirements.
  • Rights granted under these Terms to use the Services will immediately cease.

Termination does not affect any rights or obligations that accrued prior to the effective date of termination.

13.6 Survival

The following provisions shall survive the suspension or termination of these Terms to the extent necessary to give them effect:

  • Intellectual Property.
  • Confidentiality obligations.
  • Data retention obligations.
  • Payment obligations, where applicable.
  • Limitation of Liability.
  • Indemnification.
  • Governing Law and Jurisdiction.
  • Any other provision that, by its nature, is intended to survive termination.

The handling, retention, deletion, or return of Customer Data following termination shall be governed by:

  • The MedroWorks Privacy Policy.
  • Any applicable commercial agreement.

  • The Customer Organization’s lawful instructions, where applicable.

Medro Hi Tech Symbol Pvt Ltd will process Customer Data following termination in accordance with these obligations.

 

14. Disclaimers

The MedroWorks Services are provided to assist Customer Organizations in managing workforce operations. While Medro Hi Tech Symbol Pvt Ltd makes reasonable efforts to provide secure, reliable, and accurate Services, the Services are provided subject to the disclaimers set out in this section.

Nothing in these Terms excludes or limits any rights that cannot be excluded under applicable law.

14.1 Services Provided “As Available”

Unless otherwise expressly stated in a separate written agreement, the Services are provided on an “as available” basis.

While we continually improve and maintain the Services, we do not warrant that the Services will:

  • Be uninterrupted or continuously available.
  • Be completely free from defects, errors, or bugs.
  • Meet every Customer Organization’s specific business requirements.
  • Operate without temporary interruptions or delays.
  • Be compatible with every device, browser, operating system, or third-party integration.

14.2 No Employment or Legal Advice

MedroWorks is a software platform designed to support workforce management.

The Services do not constitute:

  • Legal advice.
  • Tax advice.
  • Financial advice.
  • Payroll consultancy.
  • Human resources consultancy.
  • Employment advice.
  • Regulatory or compliance advice.

Customer Organizations should obtain professional advice where necessary regarding employment, taxation, labour laws, statutory compliance, or other legal obligations.

14.3 Customer Decisions

The Customer Organization is solely responsible for all decisions made using information available through the Services, including decisions relating to:

  • Recruitment.
  • Employee onboarding.
  • Attendance.
  • Leave approvals.
  • Payroll processing.
  • Performance management.
  • Promotions.
  • Disciplinary actions.
  • Employment termination.
  • Statutory compliance.

Medro Hi Tech Symbol Pvt Ltd does not make employment decisions on behalf of Customer Organizations.

14.4 Accuracy of Customer Data

The accuracy of reports, analytics, payroll calculations, attendance records, and other outputs generated by the Services depends upon the accuracy and completeness of the information provided by the Customer Organization and its authorized Users.

Medro Hi Tech Symbol Pvt Ltd is not responsible for errors resulting from inaccurate, incomplete, outdated, or unauthorized information entered into the Services.

14.5 Third-Party Services

Certain functionality within the Services depends upon third-party infrastructure and technologies.

Medro Hi Tech Symbol Pvt Ltd does not warrant the availability, performance, or reliability of third-party services that are outside our reasonable control.

14.6 Internet and Technology Risks

The operation of cloud-based software depends upon internet connectivity, telecommunications networks, hosting infrastructure, and other technologies that may occasionally experience interruptions or failures.

Accordingly, temporary interruptions, delays, or reduced functionality may occur despite reasonable operational measures.

14.7 No Guarantee of Business Outcomes

Use of the Services does not guarantee:

  • Improved business performance.
  • Increased productivity.
  • Regulatory compliance.
  • Employee performance.
  • Financial outcomes.
  • Reduction of operational risks.
  • Achievement of any particular business objective.

The Services are intended to support workforce management and decision-making, but responsibility for business decisions remains with the Customer Organization.

14.8 Changes to the Services

Medro Hi Tech Symbol Pvt Ltd may improve, modify, replace, or discontinue features of the Services as part of ongoing product development, security enhancements, maintenance, or operational improvements.

Such changes do not constitute a breach of these Terms provided they are made in good faith and in accordance with applicable agreements.

14.9 Statutory Compliance

Although MedroWorks includes features that may assist Customer Organizations with payroll, attendance, leave management, and statutory record-keeping, the Customer Organization remains solely responsible for ensuring compliance with applicable employment, labour, taxation, social security, and other statutory obligations.

Use of the Services does not transfer legal compliance responsibilities to Medro Hi Tech Symbol Pvt Ltd.

 

15. Limitation of Liability

To the fullest extent permitted by applicable law, the liability of Medro Hi Tech Symbol Pvt Ltd arising out of or relating to the Services shall be limited as set out in this section.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

15.1 Scope of Liability

Medro Hi Tech Symbol Pvt Ltd shall be liable only for losses that are directly caused by its breach of these Terms or applicable law, subject to the limitations set out below.

15.2 Excluded Damages

To the maximum extent permitted by applicable law, Medro Hi Tech Symbol Pvt Ltd shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of, or inability to use, the Services.

This includes, without limitation:

  • Loss of profits.

Medro Hi Tech Symbol Pvt Ltd is not responsible for decisions made by the Customer Organization or its Users based on information generated through the Services.

This includes decisions relating to:

  • Recruitment.
  • Employee onboarding or offboarding.
  • Attendance.
  • Leave approvals.
  • Payroll processing.
  • Employee performance.
  • Promotions.
  • Disciplinary actions.
  • Employment termination.
  • Statutory compliance.
  • Financial or operational decisions.

The Customer Organization remains solely responsible for its business and employment decisions.

15.4 Third-Party Services

Medro Hi Tech Symbol Pvt Ltd shall not be liable for interruptions, failures, delays, inaccuracies, or damages resulting from third-party products, services, infrastructure, telecommunications providers, internet service providers, cloud platforms, or other services beyond our reasonable control.

15.5 Customer Data

The Customer Organization is responsible for maintaining the accuracy, completeness, and lawfulness of Customer Data processed through the Services.

Medro Hi Tech Symbol Pvt Ltd shall not be liable for losses arising from:

  • Incorrect or incomplete information provided by the Customer Organization or its Users.
  • Unauthorized modifications made by the Customer Organization.
  • Failure to maintain appropriate internal controls or security measures.
  • Misuse of the Services by authorized Users.

15.6 Security Incidents

While Medro Hi Tech Symbol Pvt Ltd implements reasonable technical and organizational measures to protect the Services, no software platform or internet-based service can guarantee absolute security.

Accordingly, we shall not be liable for losses arising from cyberattacks, unauthorized access, malware, distributed denial-of-service (DDoS) attacks, or other security incidents that could not reasonably have been prevented through the exercise of reasonable care.

15.7 Force Majeure

Medro Hi Tech Symbol Pvt Ltd shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters.
  • Fire or flood.
  • War or civil unrest.
  • Government actions.
  • Pandemics or public health emergencies.
  • Power failures.
  • Internet or telecommunications outages.
  • Labour disputes.
  • Failures of third-party infrastructure or cloud service providers.

15.8 Maximum Liability

To the fullest extent permitted by applicable law, the aggregate liability of Medro Hi Tech Symbol Pvt Ltd arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by the Customer Organization to Medro Hi Tech Symbol Pvt Ltd for the affected Services during the twelve (12) months immediately preceding the event giving rise to the claim.

If the Services were provided without charge, the total aggregate liability of Medro Hi Tech Symbol Pvt Ltd shall be limited to the maximum extent permitted under applicable law.

15.9 No Limitation Where Prohibited

Nothing in these Terms shall exclude or limit liability for:

  • Fraud or fraudulent misrepresentation.
  • Wilful misconduct.
  • Death or personal injury caused by negligence, where such liability cannot legally be excluded.
  • Any liability that cannot be excluded or limited under applicable law.

 

16. Indemnification

The Customer Organization and each User agree to indemnify and hold harmless Medro Hi Tech Symbol Pvt Ltd, its directors, officers, employees, affiliates, contractors, representatives, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to the circumstances described in this section, to the extent permitted by applicable law.

16.1 Customer Organization Indemnity

The Customer Organization agrees to indemnify, defend, and hold harmless Medro Hi Tech Symbol Pvt Ltd from any claims, actions, proceedings, damages, liabilities, penalties, fines, costs, or expenses arising out of or relating to:

  • The Customer Organization’s breach of these Terms.
  • The Customer Organization’s violation of applicable laws or regulations.
  • The Customer Organization’s misuse of the Services.
  • Employment-related decisions made by the Customer Organization.
  • Payroll, taxation, labour, or statutory compliance obligations of the Customer Organization.
  • Customer Data provided by or on behalf of the Customer Organization.
  • Any claim that the Customer Organization lacked the authority to collect, process, or use Personal Information through the Services.

16.2 User Indemnity

Each User agrees to indemnify and hold harmless Medro Hi Tech Symbol Pvt Ltd from claims arising from:

  • Unauthorized use of the Services.
  • Violation of these Terms.
  • Misuse of another user’s account.
  • Submission of unlawful, fraudulent, misleading, or infringing information through the Services.
  • Violation of applicable laws while using the Services.

16.3 Employment Matters

Medro Hi Tech Symbol Pvt Ltd shall not be responsible for employment-related disputes between a Customer Organization and its employees or other workforce members.

The Customer Organization agrees to indemnify Medro Hi Tech Symbol Pvt Ltd against claims arising from:

  • Recruitment decisions.
  • Employment contracts.
  • Salary or wage disputes.
  • Attendance disputes.
  • Leave disputes.
  • Performance evaluations.
  • Promotions.
  • Disciplinary actions.
  • Employee termination.
  • Workplace grievances.
  • Statutory employment obligations.

16.4 Third-Party Claims

If a third party brings a claim against Medro Hi Tech Symbol Pvt Ltd arising from the Customer Organization’s or a User’s use of the Services in violation of these Terms or applicable law, the Customer Organization or User, as applicable, shall be responsible for the reasonable costs associated with defending such claim, including reasonable legal fees and settlement amounts, to the extent permitted by applicable law.

16.5 Cooperation

Medro Hi Tech Symbol Pvt Ltd will provide reasonable notice of any claim for which indemnification is sought, unless prohibited by law or where immediate notice is not reasonably practicable.

The Customer Organization or User providing indemnification shall cooperate in the defence of such claim. Medro Hi Tech Symbol Pvt Ltd reserves the right to participate in the defence of any claim using counsel of its own choosing at its own expense.

16.6 Limitations

The indemnification obligations set out in this section shall not apply to the extent that a claim arises directly from the gross negligence, wilful misconduct, or fraudulent acts of Medro Hi Tech Symbol Pvt Ltd.

Nothing in this section limits any rights or remedies available to either party under applicable law.

16.7 Survival

The obligations contained in this section shall survive the suspension, termination, or expiration of these Terms for so long as necessary to resolve any claim or liability arising during the period in which these Terms were in effect.

 

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

By accessing or using the Services, the Customer Organization and Users agree that any dispute arising out of or relating to these Terms or the use of the Services shall be resolved in accordance with this section, unless otherwise required by applicable law.

17.1 Applicable Law

These Terms, and any non-contractual obligations arising out of or relating to them, shall be governed by the laws of India.

Nothing in these Terms limits or excludes any mandatory rights or protections available under applicable law.

17.2 Jurisdiction

Subject to applicable law, the courts located in Rajasthan, India, shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to:

  • These Terms.
  • The Services.
  • Any rights or obligations of the parties.
  • The interpretation, validity, performance, or enforcement of these Terms.

17.3 Amicable Resolution

Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions and negotiations.

Either party may notify the other party in writing of the nature of the dispute and seek an amicable resolution before commencing legal action.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its legal rights or interests.

17.4 Severability

If any provision of these Terms is determined by a court or other competent authority to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

17.5 Waiver

Failure or delay by Medro Hi Tech Symbol Pvt Ltd to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

Any waiver of a provision of these Terms shall be effective only if made in writing and shall not constitute a continuing waiver of any other provision or subsequent breach.

17.6 Entire Agreement

These Terms, together with the MedroWorks Privacy Policy and any applicable written agreement entered into between Medro Hi Tech Symbol Pvt Ltd and the Customer Organization, constitute the entire agreement between the parties relating to the use of the Services.

In the event of any conflict between these Terms and a separately executed written agreement with a Customer Organization, the written agreement shall prevail to the extent of the conflict.

 

18. Changes to these Terms

Medro Hi Tech Symbol Pvt Ltd may revise or update these Terms from time to time to reflect changes in the Services, applicable laws, industry standards, security practices, business operations, or other operational requirements.

Any updates to these Terms will become effective on the date specified in the revised version unless otherwise stated.

18.1 Notification of Changes

Where we make material changes that significantly affect the rights or obligations of Customer Organizations or Users, we will make reasonable efforts to provide notice through one or more of the following methods:

  • Publication on the MedroWorks website.
  • Notification within the MedroWorks Services.
  • Email communication to the Customer Organization or its authorized representatives, where applicable.
  • Other reasonable methods of communication.

Minor updates, editorial corrections, formatting improvements, or changes that do not materially affect the rights or obligations of Users may be made without prior notice.

18.2 Continued Use

By continuing to access or use the Services after the updated Terms become effective, you acknowledge and agree to be bound by the revised Terms.

If you do not agree with any revision to these Terms, you must discontinue your use of the Services.

18.3 Version History

Each version of these Terms will include an Effective Date and Last Updated date to help Customer Organizations and Users identify the version currently in effect.

Previous versions may be retained by Medro Hi Tech Symbol Pvt Ltd for legal, regulatory, operational, or record-keeping purposes.

18.4 Relationship with Other Policies

Changes to these Terms do not automatically amend the MedroWorks Privacy Policy or any separate commercial agreement entered into between Medro Hi Tech Symbol Pvt Ltd and a Customer Organization.

Where updates affect multiple legal documents, each document will be revised independently and will display its own version information and effective date.

18.5 Customer Responsibility

Customer Organizations are responsible for ensuring that their authorized Users are informed of material updates to these Terms where appropriate within their organization.

Continued organizational use of the Services after the effective date of an updated version constitutes acceptance of the revised Terms by the Customer Organization, subject to any separate written agreement between the parties.
